Terms of Use

1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the Zyqual platform and related products, including ZyAi and ZyqualSMS (collectively, the "Platform"), operated by Zyqual Ltd. ("Zyqual", "we", "our", "us"). By accessing, registering for, or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

2. Eligibility & Platform Access

Zyqual is provided free of charge to registered Jamaican educational institutions and their staff. Access requires:

  • A valid official Ministry of Education and Youth (MoEY) email address, or an approved institutional email
  • Completion of Zyqual's registration and verification process
  • Approval by your school administrator or the MoEY, where applicable
  • You are at least 18 years old or of legal majority in Jamaica

3. Accounts & Credentials

You are responsible for:

  • Maintaining the confidentiality of your username, password, and any MFA device
  • All activity that occurs under your account
  • Promptly notifying Zyqual of any unauthorised access at info [at] zyqual.com

You must not share credentials, impersonate another user, or create an account under false information.

4. Permitted Use

The Platform is licensed for legitimate educational use by authorised staff of Jamaican schools and Ministry of Education personnel. You agree to:

  • Use the Platform only for educational, appraisal, observation, and professional-development purposes
  • Ensure the accuracy of data you enter
  • Comply with all applicable laws, MoEY policies, and institutional codes of conduct
  • Respect the privacy, dignity, and rights of students, colleagues, and third parties

5. Prohibited Use

You may not:

  • Use the Platform for any unlawful, deceptive, or harmful purpose
  • Attempt to gain unauthorised access to other accounts, data, or systems
  • Interfere with, disrupt, or probe the Platform or its security controls
  • Upload malware, viruses, or any code intended to damage or disrupt
  • Scrape, data-mine, or bulk-export data except through features Zyqual provides
  • Use the Platform or its outputs for commercial purposes unrelated to education
  • Reverse engineer, decompile, or attempt to derive the source code of the Platform

6. Data Ownership & Licence

Data entered into Zyqual (observations, appraisals, IEPs, attendance, etc.) remains the property of the originating school or institution. By uploading or entering data, you grant Zyqual a limited, non-exclusive licence to host, process, display, and back up that data as necessary to operate the Platform, generate reports, and fulfil our agreement with the Ministry of Education and Youth.

7. Intellectual Property

All rights, title, and interest in the Platform — including software, design, rubrics, standards libraries, AI models, logos, and trademarks — remain with Zyqual Ltd. or its licensors. These Terms do not grant you any right to use our trademarks or branding without prior written consent.

8. AI-Generated Content (ZyAi)

The Platform may include AI-powered features (e.g., lesson planning, curriculum analysis). AI outputs are generated from your inputs and standard curriculum data. You are responsible for reviewing, validating, and adapting any AI-generated content before classroom use. Zyqual does not warrant that AI outputs are error-free, complete, or pedagogically optimal for every context.

9. Service Availability

We work to keep the Platform available but do not guarantee uninterrupted access. Scheduled maintenance, emergency patches, or events outside our reasonable control may cause temporary downtime. We will make reasonable efforts to provide advance notice of scheduled maintenance.

10. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZYQUAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON-INFRINGEMENT. Zyqual does not warrant that the Platform will be error-free, secure, or meet every specific educational requirement.

11. Limitation of Liability

To the maximum extent permitted by law, Zyqual, its directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising from your use of the Platform. Our total liability to you for any claim arising out of or relating to the Platform will not exceed JMD 10,000.

12. Indemnification

You agree to indemnify and hold Zyqual harmless from any claim or demand, including reasonable legal fees, arising out of your breach of these Terms, your misuse of the Platform, or your violation of any law or the rights of a third party.

13. Suspension & Termination

We may suspend or terminate your access to the Platform, in whole or in part, if you breach these Terms, if required by law, or if your institution's agreement with Zyqual or the MoEY ends. Where reasonably possible, we will provide advance notice. You may terminate your account at any time by contacting info [at] zyqual.com.

14. Changes to the Terms

We may update these Terms from time to time. Material changes will be announced via the Platform or by email. Continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of Jamaica, without regard to its conflict-of-law provisions. You agree to submit to the exclusive jurisdiction of the courts of Jamaica for any dispute arising out of or relating to these Terms or the Platform.
